Senior Counsel


Responsible for providing expert legal advice and support on a wide range of matters and contracts for the Company’s global operations, products and services. Drafts, reviews, and negotiates contracts, agreements, non-disclosure agreements, purchase orders, and service orders ranging from basic to complex for company services and business transactions; provides legal counsel and crafts viable solutions as needed on various corporate matters, including intellectual property issues, data protection, compliance/regulatory issues, strategic initiatives, and business transactions. Partners with business units to achieve corporate goals while protecting the Company’s interests and mitigating legal risks. Reviews, drafts, and negotiates numerous complex contracts simultaneously, collaborating with colleagues in the US, EMEA, Asia/Pacific, and Latin America to ensure that all transactions are legally sound and comply with all applicable laws, rules, regulations, company policies, and practices. Advises internal clients concerning legal and business matters, including corporate compliance. Supports the Legal Department with ongoing initiatives, including process improvement, intellectual property protection, and training initiatives.


• A JD degree is required
Work Experience
• Extensive experience in a law firm or corporate Legal Department (10+ years preferred), with significant transactional and/or intellectual property experience
• Member of the State Bar of Texas
• Must be able to strike a reasonable balance between processing transactions of all kinds and managing risk to the company, to keep business transactions flowing quickly and smoothly throughout the company
Technical Skills
Proven ability to draft, negotiate, and review complex agreements
Proficiency in Microsoft® Word, Excel®, and PowerPoint®
Experience in the following areas:
Software as a service
Data licensing
Data protection
Legal compliance related to global transaction of services business
Technical background and experience working in the global energy industry and/or services industry serving the energy industry a plus
Non-Technical Skills
Proven ability to draft, negotiate, and review complex agreements
Demonstrated ability to analyze complex legal issues, develop creative solutions, and provide sound, practical, and reasoned legal advice to business clients
Experience counseling clients with respect to privacy rules and regulations and other requirements relating to the protection of confidential and proprietary information
Excellent verbal/written communication skills and efficient work habits
Must be able to work under deadlines in a demanding, fast-paced environment
Ability to work autonomously
Financial acumen
Timeliness and attention to detail are required behaviors/skills
